1. OFFER. The
CallEffect Launch Offer (the "Offer") is only available to Qualifying Customers
and is subject to the following terms and conditions. Qualifying Customers will
receive a free trial consisting of up to five (5) standard subscriber accounts
(without additional top-ups) to use CallEffect for up to 30 days ("Trial
Period"). The Trial Period: (a) cannot last more than thirty days: (b) can
commence on any day from November 10th, 2008; and (c) can last until (and must
terminate on) December 31, 2008. The Offer: (a) covers the use of CallEffect by
up to a maximum of five (5) people employed by a Qualifying Customer, subject
to variation at CallEffect's sole discretion; and (b) is limited to a maximum
of one thousand (1000) minutes per valid user, pooled across all a Qualifying
Customer's valid trial users, up to a maximum of five thousand minutes (5,000).
This Offer only applies to use of CallEffect in the Trial Period. Any use of
CallEffect outside the Trial Period will be chargeable at CallEffect's then
published rates. Any use of CallEffect outside the above conditions (for
example without limitation, use of more than the inclusive minutes detailed
above) will be chargeable at CallEffect's then published rates for further
subscriber accounts or top-ups as appropriate. CallEffect reserves the right
to withdraw or amend this offer at any time on reasonable notice.
2. ELIGIBILITY.
To be a "Qualifying Customer", the customer must:
2.1.
have attended the DreamForce 2008 event held at the Moscone Convention Center, Howard Street, San Francisco, CA 94103 from November 3 to 5,
2008 ("DreamForce 2008");
2.2.
register their interest either (a) with CallEffect at the
CallEffect stand at DreamForce 2008 or (b) online at www.calleffect.com/dreamforce by December 1, 2008 entering the appropriate promotion code;
2.3.
be accepted as a new customer by CallEffect (at CallEffect's
sole discretion and, without limitation to the foregoing, subject to a status
and credit check);
2.4.
be an existing US-resident customer of Salesforce.com's Enterprise
or Unlimited editions, with no invoices due and outstanding at any time; Note a
version of CallEffect for Professional Edition is coming soon and a similar
offer will be made available to those Professional Edition Customers that
register their interest by the 1st of December once Professional
Edition is supported.
2.5.
use Salesforce.com and CallEffect solely for its own
business, not personal, purposes;
2.6.
accept CallEffect's terms and conditions of use and privacy
policy ("CallEffect Agreement").
2.7.
not be in breach of its CallEffect Agreement including,
without limitation of the foregoing, for non-payment of invoices;
2.8.
provide their Salesforce account number as proof they are an
existing Salesforce customer; and
2.9.
not be a competitor of CallEffect, including without
limitation any person developing or providing telephony integrated with
salesforce.com or with any other software service or application.
3. CallEffect
will use its reasonable efforts to provision trialists within three (3)
business days, but accepts no liability for any delay or loss of use or time
within the Trial Period for any such delay.
4. CallEffect
reserves the right to terminate a customer's rights to the Offer at any point
if CallEffect, in its sole discretion, suspects that the customer is not, or is
no longer, a Qualifying Customer.
5. GENERAL. The
Offer is available only once to each Qualifying Customer and cannot be
transferred. No cash alternatives are available. No refunds will be given.
6. AGREEMENT.
These terms and conditions form part of the Qualifying
Customer's CallEffect Agreement and, as such is governed by the laws of the
State of New York, excluding its conflict of laws principles. In cases of
conflict, these terms and conditions take precedence over other terms and
conditions of the Qualifying Customer's CallEffect Agreement.
7. CALLEFFECT. The Offer is made available by Ring2 Communications LLC of 400 2nd Street, Suite 450, San Francisco, CA 94107, trading as CallEffect.
